Happy Whole Human®– Terms & Conditions

These Terms & Conditions ("Terms") govern your access to and use of all Happy Whole Human® (“HWH”) services, programs, digital platforms, assessments, content, and applications.
They apply globally and are issued jointly by:
• Happy Whole Human, Inc. (Delaware corporation; principal U.S. headquarters: Austin, Texas, USA)
• Happy Whole Human Spain SL (Barcelona, Spain)
Together referred to as “Happy Whole Human,” “HWH,” “we,” “us,” or “our.”
By accessing or using HWH services, you acknowledge that you have read, understood, and agreed to these Terms.
1. Scope of Services
These Terms apply to all HWH offerings, including but not limited to:
• Individual coaching
• Relationship & couple coaching
• Hypnotic coaching & self-hypnosis content
• Group, team, and organizational coaching
• Coach training programs
• Digital courses (eCourses)
• Assessments (individual, team, organizational)
• AI-enabled tools and coaching agents
• Memberships, platforms, and mobile applications
Communications Consent
By engaging with Happy Whole Human®, you consent to receive communications related to your services via email, phone, text message, and secure in-app notifications. These communications may include scheduling, reminders, service updates, account notices, and administrative information.
You may opt out of non-essential communications at any time by following the instructions provided or by contacting Happy Whole Human®. Opting out of certain communications may affect our ability to deliver services.
2. Coaching Disclaimer
HWH coaching services are non-clinical, non-medical, and non-therapeutic in nature.
Coaching is not a substitute for medical care, mental health treatment, psychotherapy, psychiatric services, or crisis intervention.
If you are experiencing acute psychological distress, suicidal ideation, psychosis, or a medical emergency, you must seek immediate help from licensed medical or mental health professionals or emergency services.
Participation in coaching is voluntary and at your own discretion.
Complementary Practice & Coordination of Care
Happy Whole Human® coaches operate as complementary practitioners, not as licensed healthcare providers, psychotherapists, or medical professionals.
When a client is concurrently receiving care from a licensed healthcare provider, mental health professional, or other primary supervising practitioner, HWH coaches may, with the client’s informed written consent, coordinate care to support alignment and continuity. Such coordination may include limited communication or collaboration with the supervising professional to ensure that coaching is an approved and appropriate component of the client’s overall care or treatment plan.
Where appropriate or required, clients may be asked to sign a written waiver or authorization permitting coordination of care and information-sharing consistent with applicable laws, privacy regulations, and ethical standards.
All coordination of care is conducted in accordance with the International Coaching Federation (ICF) Code of Ethics, including clear role boundaries, client autonomy, informed consent, and respect for professional scope of practice. Coaching does not replace licensed treatment, diagnosis, or clinical decision-making.
3. Client Responsibility & Assumption of Risk
You acknowledge and agree that:
• You are fully responsible for your physical, mental, emotional, and relational well-being
• You retain full autonomy over all decisions and actions
• HWH does not guarantee outcomes or results
You voluntarily assume all risks associated with participation in HWH services.
4. Hypnotic Coaching & Self-Hypnosis
Hypnotic coaching is educational and experiential, not clinical hypnosis or psychotherapy.
• Hypnosis should never replace medical or psychological treatment
• Results vary by individual
• At any time, you are able to return to full conscious alertness by saying or thinking the word “awake.”
HWH assumes no liability for outcomes resulting from hypnosis or self-hypnosis recordings.
5. Individual, Couple, Team & Organizational Coaching
All coaching relationships within Happy Whole Human® are governed by mutual confidentiality, meaning both the client(s) and the coach are responsible for maintaining the privacy and integrity of the coaching relationship.
• Individual coaching: Confidential between client and coach; both parties agree not to disclose coaching content without consent
• Couple/relationship coaching: Confidentiality applies to the coaching unit as a whole; the coach will not keep individual secrets that materially affect the work unless explicitly agreed in advance
• Team/organizational coaching: Confidentiality applies to agreed-upon boundaries defined in the coaching contract, including what information may be shared at aggregate or systemic levels
HWH reserves the right to terminate coaching if engagement is no longer ethical, productive, or aligned with professional standards.
6. Confidentiality, Ethics & Conflicts of Interest
Confidentiality within HWH coaching relationships is mutual and reciprocal, applying to both coaches and clients.
All coaching conversations and materials are confidential except where disclosure is required by law, ethics, or professional standards, including:
• Risk of harm to self or others
• Abuse or neglect of a minor or vulnerable person
• Court order or other legal obligation
Sponsored Coaching & Third-Party Payers
In situations where coaching services are paid for or sponsored by a third party (including but not limited to employers, organizations, educational institutions, or grantors), the confidentiality of the coaching relationship remains fully intact.
Unless otherwise explicitly agreed to in writing by the client, Happy Whole Human® and its coaches do not share session content, personal disclosures, or individual coaching data with sponsors or third-party payers.
Any information shared with a sponsoring entity, if applicable, is limited to administrative, attendance, or high-level, non-identifying information, such as confirmation of participation or aggregate program metrics, and only where ethically appropriate and legally permissible.
All sponsored coaching arrangements are governed by the International Coaching Federation (ICF) Code of Ethics, including clarity of roles, transparency, informed consent, and protection of client confidentiality.
Conflicts of Interest
Happy Whole Human® makes every reasonable effort to identify, disclose, and avoid conflicts of interest in accordance with the ethical standards of the International Coaching Federation (ICF), the American Council of Hypnotist Examiners (ACHE), and other applicable professional bodies.
Because HWH operates across individual, relationship, team, and organizational contexts, potential conflicts may arise, including (by way of example):
• Coaching individuals who share a personal or relational history (e.g., former spouses or partners with different last names)
• Working with multiple individuals or teams within the same organization
• Supporting organizations that operate within the same or competing industries
When such situations arise:
• HWH maintains strict privacy and confidentiality boundaries between all clients and engagements
• No information is shared across clients, teams, or organizations without explicit consent
• Coaches are trained to manage boundaries, neutrality, and ethical separation of engagements
Clients and participants agree to disclose in good faith any known or potential conflicts of interest of which they are aware.
Where a potential conflict is identified, HWH will work transparently with the affected parties to clarify roles, boundaries, and confidentiality expectations; obtain informed consent where appropriate; and adjust coaching arrangements, assign a different coach, or decline an engagement if necessary to preserve ethical integrity.
If a conflict cannot be ethically managed, HWH reserves the right to pause or terminate services in alignment with professional ethical standards.
7. Assessments – Confidentiality, Data Use & Ownership
Secure Access & Delivery
All HWH assessment results are stored and accessed through a secure, encrypted digital portal.
Downloading, exporting, emailing, screenshotting, or otherwise sharing assessment results outside the secure portal is done at the user’s own risk. Once data leaves the HWH secure environment, HWH cannot guarantee confidentiality or security.
Data Ownership
All assessment instruments, methodologies, scoring models, benchmarks, reports, and underlying datasets are the exclusive intellectual property of Happy Whole Human®.
Respondents are granted access to their individual results for personal insight and development but do not acquire ownership rights in the assessment tools, scoring logic, algorithms, or datasets.
Individual Holistic Wellness Self-Assessment
• Results are strictly confidential
• Accessible only to the respondent, their authorized HWH coach, and authorized HWH administrators acting under confidentiality obligations
• Results will not be shared by HWH with employers, organizations, or third parties
• Respondents may elect to share their own results at their sole discretion
Organizational & Team Assessments
Team and organizational assessments often involve sensitive, relational, and strategic data.
• Individual responses are anonymized and aggregated
• Reports are designed to avoid revealing personally identifiable responses; however, due to the qualitative and contextual nature of some feedback, complete de-identification cannot be guaranteed in all cases. HWH takes reasonable and appropriate measures to minimize identifiability and protect participant confidentiality.
• Minimum response thresholds may apply to protect anonymity
Sharing, Publication & Use Restrictions
• Results are provided solely for internal developmental and learning purposes
• Results may not be published, publicly shared, marketed, or distributed without prior written consent of HWH
Research & Improvement
HWH may use fully anonymized, aggregated data for research, benchmarking, and program improvement. No individual-level data is ever sold.
8. AI-Enabled Coaching & Digital Tools
Happy Whole Human® AI Value Statement
We use AI ethically and intentionally to enhance clarity, continuity, and learning—never to replace human presence, intuition, or judgment. AI supports reflective synthesis, assessment-informed insight, and skill-building between sessions, allowing coaches to remain deeply present while offering clients greater coherence, accountability, and momentum. Our approach is client-led, privacy-first, values-driven, and grounded in transparency, consent, and human flourishing.
In-App AI Consent
By enabling or using AI-supported features within the Happy Whole Human® platform, you acknowledge and consent to the use of AI tools to support reflection, learning, and continuity between sessions. You understand that AI augments—but does not replace—human coaching, and you may disable or opt out of AI-supported features at any time.
AI Use Acknowledgment
You understand that limited AI-supported tools may be used to assist with organization, reflection prompts, or progress tracking in your coaching engagement. You acknowledge that AI does not replace coaching sessions, decision-making, or human judgment, and that participation in AI-supported tools is optional and may be withdrawn at any time.
Reporting AI Concerns
Happy Whole Human® is committed to the ethical, safe, and responsible use of AI. If you experience or observe inaccurate, misleading, biased, unsafe, or otherwise concerning AI outputs, technical malfunctions, or privacy-related issues, you are encouraged to report the concern promptly by contacting contact@happywholehuman.com.
Where possible, reports should include a brief description of the issue, the date and time of the interaction, and relevant context or screenshots. Reports are reviewed as part of HWH’s ongoing quality, safety, and governance processes.
No Emergency or Crisis Monitoring
Happy Whole Human® does not provide emergency, crisis, or real-time monitoring services. Communications through the platform, including AI-supported tools, are not monitored continuously. If you are experiencing a medical or mental health emergency, you must contact local emergency services or a qualified professional immediately.
Third-Party Services
AI-enabled features and platform functionality may rely on third-party tools, infrastructure, or integrations. Happy Whole Human® is not responsible for the availability, security, or performance of third-party services and disclaims liability arising from their use.
Age Requirement
Use of HWH digital platforms and AI-enabled tools is restricted to individuals eighteen (18) years of age or older.
9. Intellectual Property & Copyright
All HWH content, trademarks, and systems are protected by intellectual property laws. Use is licensed, not transferred.
10. Community Spaces & Conviviality
HWH community spaces are governed by standards of respect, confidentiality, and constructive engagement. Harassment, discrimination, or misuse may result in removal without refund.
11. Payments, Refunds & Cancellations (Coaching, Mentoring & Supervision)
• Payment is due at the time services are rendered
• Fees are non-refundable
• Prepaid discounted packages are non-refundable, transferable with approval, and expire one (1) year from purchase
Cancellations & No-Shows
One grace late cancellation or no-show within 24 hours is permitted. Subsequent late cancellations or no-shows will be charged or deducted from packages.
12. Platform Availability & Technical Disclaimer
Happy Whole Human® provides its platforms, applications, and digital services on an “as is” and “as available” basis.
While HWH makes reasonable efforts to maintain reliable access, we do not guarantee that the platform, applications, or digital services will be uninterrupted, error-free, secure, or free from delays, omissions, or technical issues.
HWH shall not be responsible for service interruptions, data loss, or access limitations resulting from:
• Scheduled or unscheduled maintenance
• Internet or network failures
• Device incompatibility
• Third-party service outages
• Security incidents beyond HWH’s reasonable control
Users acknowledge that access to digital services may be temporarily suspended or limited for technical, operational, or security reasons.
12A. Account Registration & Security
To access certain features of the HWH platform, you may be required to create an account. You agree to provide accurate, current, and complete information and to keep such information updated.
You are responsible for safeguarding your login credentials and for all activity that occurs under your account. You agree to notify HWH promptly of any unauthorized use or suspected security breach. HWH is not liable for losses resulting from unauthorized account access due to your failure to maintain credential security.
HWH reserves the right to suspend or terminate accounts where security risks, misuse, or violations of these Terms are identified.
12B. User-Submitted Content & Responsibility
You may submit text, reflections, responses, uploads, messages, or other content through the HWH platform (“User Content”). You retain ownership of your User Content.
You are solely responsible for the legality, accuracy, appropriateness, and rights associated with User Content you submit. You represent that you have all necessary rights and permissions to submit such content and that it does not infringe the rights of any third party.
HWH reserves the right to remove, restrict, or moderate User Content that violates these Terms, ethical standards, or applicable law.
12C. License to Process User Content
By submitting User Content, you grant Happy Whole Human® a limited, non-exclusive, worldwide, royalty-free license to host, store, process, analyze, transform, and display such content solely for the purposes of:
• Providing and maintaining HWH services
• Supporting coaching, assessment, and learning experiences
• Improving platform functionality
• Generating anonymized and aggregated insights
• Complying with legal obligations
This license does not grant HWH ownership of your User Content.
12D. Recordings, Transcription & Participant Consent
Certain features of the HWH platform may allow recording, transcription, or analysis of sessions or communications when explicitly enabled by users.
If you choose to enable such features, you represent and warrant that you have obtained all legally required consents from all participants prior to recording or transcription. You are solely responsible for compliance with applicable recording and consent laws.
HWH assumes no responsibility for a user’s failure to obtain required consent.
12E. Data Backup & Retention Disclaimer
HWH may perform periodic data backups for operational continuity; however, we do not guarantee the availability, integrity, or restoration of any User Content or platform data.
Users are encouraged to maintain their own copies of any content or information they wish to retain. HWH shall not be liable for loss or corruption of data, to the maximum extent permitted by law.
13. Limitation of Liability
To the fullest extent permitted by applicable law:
• Happy Whole Human® shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to loss of profits, loss of data, loss of business, or loss of goodwill
• HWH makes no guarantees regarding outcomes, performance improvements, personal transformation, or organizational results arising from coaching, assessments, digital tools, or AI-supported features
In no event shall HWH’s total cumulative liability exceed the lesser of:
• $100 USD, or
• The total fees paid by you to HWH in the twelve (12) months preceding the claim
Some jurisdictions do not allow certain limitations of liability; in such cases, liability shall be limited to the maximum extent permitted by law.
14. Indemnification
You agree to indemnify, defend, and hold harmless Happy Whole Human®, its officers, directors, employees, coaches, contractors, affiliates, and agents from and against any claims, demands, damages, losses, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to:
• Your misuse of HWH services, platforms, or content
• Your violation of these Terms or applicable laws
• Your infringement of any third-party rights
• Any content or information you submit, share, or disclose through HWH services
This obligation survives termination of these Terms.
15. Data Protection & Privacy
Happy Whole Human® is committed to protecting personal data and privacy and complies with applicable data protection laws, including:
• General Data Protection Regulation (GDPR)
• California Consumer Privacy Act / California Privacy Rights Act (CCPA/CPRA)
• Other applicable U.S., EU, and international privacy regulations
Personal data is collected, processed, stored, and used solely for legitimate business purposes related to providing services, improving offerings, ensuring security, and meeting legal obligations.
Users may request access, correction, deletion, or restriction of their personal data by contacting contact@happywholehuman.com. Additional details regarding data handling practices are provided in HWH’s Privacy Policy.
15A. AI Training & Data Use Clarification
Happy Whole Human® does not use identifiable individual coaching content, assessment responses, session recordings, transcripts, or AI interactions to train foundation artificial intelligence models without explicit user consent.
HWH may use fully anonymized and aggregated data to improve services, analytics, and platform functionality in alignment with ethical standards and applicable law.
16. Governing Law & Jurisdiction
These Terms are governed by applicable law based on the contracting entity:
• United States clients and contracts: Governed by the laws of the State of Texas, USA
• European Union clients and digital services: Governed by the laws of Spain, with mandatory EU consumer protections preserved
Jurisdiction and venue shall be determined based on the applicable governing law and contracting HWH entity, unless otherwise required by mandatory law.
17. Dispute Resolution
In the event of any dispute, claim, or controversy arising out of or relating to these Terms or HWH services, the parties agree to:

Attempt to resolve the matter informally and in good faith through direct communication

If unresolved, submit the dispute to mediation before pursuing litigation, where legally permitted
Nothing in this section prevents either party from seeking injunctive or equitable relief where appropriate.
18. Termination
Happy Whole Human® reserves the right to refuse, pause, suspend, or discontinue services at its discretion if engagement is deemed unsafe, unethical, misaligned, unlawful, or no longer constructive, in accordance with professional and ethical standards.
Users may discontinue services at any time, subject to applicable payment, cancellation, and refund policies.
The following provisions survive termination: confidentiality, intellectual property, limitation of liability, indemnification, governing law, dispute resolution, and any other provisions which by their nature should survive.
19. Updates, Force Majeure, Assignment & Interpretation
Updates
Happy Whole Human® may update or modify these Terms from time to time. Continued use of services after changes are posted constitutes acceptance of the updated Terms.
Force Majeure
HWH shall not be liable for any delay or failure in performance due to events beyond reasonable control, including but not limited to natural disasters, pandemics, illness, government actions, technical failures, labor disputes, or third-party service disruptions.
Assignment
Happy Whole Human® may assign or transfer these Terms in connection with a corporate restructuring, merger, acquisition, sale of assets, or similar transaction. Users may not assign their rights or obligations without prior written consent.
Interpretation
Section headings are provided for convenience only and do not affect interpretation of these Terms.
19A. Feedback License
If you submit feedback, suggestions, ideas, or recommendations regarding HWH services or the platform, you grant Happy Whole Human® a perpetual, irrevocable, royalty-free right to use, implement, and incorporate such feedback without obligation or compensation.
Happy Whole Human® is committed to improving accessibility across its digital platforms and welcomes feedback regarding accessibility at contact@happywholehuman.com.
19B. Severability & Waiver
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
The failure of HWH to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

21. Coach Training, Supervision & Professional Programs
Participation in Happy Whole Human® coach training programs, supervision, mentoring, certification pathways, or faculty-led professional development is governed by separate enrollment agreements, supervision contracts, and program-specific policies.
These agreements may include additional terms related to evaluation, recording, confidentiality limitations, accreditation requirements, data sharing with credentialing bodies, and faculty consultation.
In the event of any conflict, the program-specific agreement shall control.
